Terms & Conditions

MetroMatters is an official newsletter and news website owned and operated exclusively by Rotunda Web Services, LLC, located at 8735 Dunwoody Place, Suite R, Atlanta, GA 30350. By accessing, browsing, subscribing to, or otherwise using the MetroMatters website, blog, newsletter, or related digital platforms (collectively, the “Services”), you agree to be bound by these Terms and Conditions of Use (“Terms”), our Privacy Policy, and all applicable laws and regulations. By using MetroMatters, you expressly consent to the jurisdiction and venue of the State of Georgia, County of Fulton, as the exclusive forum for all disputes or claims related to MetroMatters, its ownership, or your use of the Services. This jurisdictional consent is absolute, irrevocable, and not subject to challenge on any grounds, including removal, diversity, amount in controversy, forum non conveniens, or any other procedural or jurisdictional argument.

 

All articles, photographs, videos, digital materials, graphics, blog posts, designs, and other content appearing on MetroMatters or distributed through its affiliated services are the sole and exclusive property of Rotunda Web Services, LLC and are fully protected by United States copyright law and international intellectual property treaties. All rights are reserved. No user, member, or subscriber acquires any ownership, license, or usage rights to the intellectual property of MetroMatters by virtue of having an account, subscription, or membership. Any unauthorized reproduction, distribution, display, publication, modification, or other use of MetroMatters content without prior written consent from Rotunda Web Services, LLC is strictly prohibited. MetroMatters reserves the right to enforce its intellectual property rights through all available legal means, including the pursuit of emergency injunctions, restraining orders, protective orders, or other judicial or administrative relief deemed necessary to remedy any violation or prevent irreparable harm.

 

Users acknowledge and agree that MetroMatters and Rotunda Web Services, LLC retain exclusive ownership of all trademarks, trade names, logos, designs, data compilations, and proprietary software code associated with the platform. No license, express or implied, is granted by these Terms or through user participation. MetroMatters will pursue protection of its intellectual property and brand integrity through any and all available civil and administrative remedies, including emergency relief when necessary.

 

Users agree not to copy, reverse-engineer, redistribute, or otherwise exploit MetroMatters content or services in any way that competes with or undermines MetroMatters or Rotunda Web Services, LLC. Any such action shall constitute a material breach of these Terms and a violation of a binding noncompete agreement. MetroMatters reserves the right to pursue all appropriate legal and equitable remedies for any breach, including but not limited to injunctive relief, temporary restraining orders, protective orders, damages, or other forms of judicial relief. Users recognize and agree that such remedies are both reasonable and necessary to protect MetroMatters’ proprietary business interests and its primary mission of promoting conservative victories in the United States.

 

Users who post comments, blog entries, or other content on MetroMatters remain solely responsible for the materials they publish. All posts must comply with applicable laws and standards of civility. The use of hate speech, harassment, defamation, threats, or calls to criminal or violent action is strictly prohibited. MetroMatters retains full discretion to remove or moderate any content, suspend or terminate access, and report unlawful conduct to the proper authorities. Any attempt to use the MetroMatters platform for criminal, fraudulent, or unethical purposes is expressly forbidden and may result in civil or criminal penalties.

 

By using the Services, each user agrees to indemnify, defend, and hold harmless MetroMatters, Rotunda Web Services, LLC, and all of their respective owners, affiliates, agents, partners, employees, contractors, representatives, successors, and assigns from and against any and all claims, liabilities, losses, expenses, and damages (including reasonable attorneys’ fees) arising from or related to: (a) the user’s use of the Services; (b) violation of these Terms or any applicable law; (c) any content posted or transmitted by the user; or (d) any third-party claim related to or arising from the user’s conduct. This indemnification applies to all scenarios and extends to protect MetroMatters from both direct and derivative claims, whether arising in contract, tort, equity, or statute. Users acknowledge they are solely responsible for their actions and agree to fully bear the cost of any resulting claims or disputes.

 

MetroMatters and Rotunda Web Services, LLC expressly disclaim all warranties, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement. All content is provided “as is” and for informational purposes only. MetroMatters does not guarantee the accuracy, completeness, or reliability of any content, and users assume full responsibility for reliance upon any information obtained through the Services. In no event shall MetroMatters or Rotunda Web Services, LLC be liable for any damages, including direct, indirect, incidental, consequential, or punitive damages, arising from or related to use of the Services, even if advised of the possibility of such damages. The total liability of MetroMatters, if any, shall not exceed the total amount paid by the user for the use of the Services during the six months preceding the claim.

 

Prior to initiating any lawsuit, claim, or cause of action against MetroMatters or Rotunda Web Services, LLC, the user must first submit the dispute to mediation or arbitration in good faith. Failure to comply with this precondition constitutes a waiver of all claims, rights, and attorney’s fees, and any such claims shall be permanently barred. However, users acknowledge and agree that MetroMatters may, at its sole discretion, bypass mediation and arbitration entirely and seek immediate judicial relief when necessary to protect its intellectual property, confidential information, or business reputation. Users further agree that this bypass right is reasonable given MetroMatters’ proprietary and political nature as a private, mission-driven business entity focused on advancing conservative goals. By using the Services, users expressly waive any right to challenge the reasonableness or enforceability of this clause.

 

MetroMatters reserves the right to modify, amend, or update these Terms at any time without prior notice. Any such updates will be effective immediately upon posting on the website, and continued use of the Services constitutes acceptance of the revised Terms. Should any provision of these Terms be deemed invalid or unenforceable, the remaining provisions shall remain in full force and effect.

 

By accessing or using MetroMatters, you acknowledge that you have read, understood, and agreed to these Terms and Conditions of Use and our Privacy Policy. You consent to the exclusive jurisdiction and venue of the State of Georgia, County of Fulton, and you waive any and all objections to that forum, including removal, diversity, amount in controversy, or forum non conveniens.
